Auction offers eight lots of transmission lines and substations

The National Agency of Electrical Energy (ANEEL) will have, on December 5th, at 10 am, at the Head Offices of BM&BOVESPA in São Paulo, the Transmission Auction Number 07/2012. Eight lots will be offered, comprising 4,445 kilometers of transmission lines and substations, with a total capacity of 1,940 mega-volt-amperes (MVA)

The new facilities will require investments of about R$4.3 billion in 11 states of Brazil, with generation of 8.623 jobs. The deadline for completion of construction works will be of 22 to 36 months and the concession contracts will be valid for 30 years.

The BID includes 15 transmission lines and eight substations, in the states of Tocantins, Goias, Acre, Piaui, Maranhao, Bahia, Ceara, Paraiba, Rio Grande do Norte, Minas Gerais and São Paulo. The Allowed Annual Revenue is of R$ 476.1 million, in which the extintion of the Global Reversion Reserve (RGR) is already considered from 2013 on, as set forth in Provisional Measure Nº 579/2012. The participation of companies which, individually or in consortium whose quota is superior to 49%, have a history of systematic delay in the implementation of transmission enterprises in the last 3 years is not permitted. The systematic delay is characterized as the average delay for facilities to enter into commercial operation of six months or more in relation to the dates established in the respective concession contracts or authorization acts. Also the participation of companies which have received 3 or more penalties for delay in the execution of transmission works in the last 3 years  having the force of res judicata on the administrative level is not permitted. The list of companies which do not have permission to participate due to the restrictions mentioned above will be announced with the publication of the edict of the auction.   
 
 
Systematic of the Auction– All bidders registered and qualified to compete in the bid must submit a financial proposal to the auctioneer at the time of the event, including those who may have lost interest in the dispute – in which case the participant must submit the envelope with a refusal form. The financial proposal must not exceed the Revenue Reserve, which corresponds to 95% (ninety five percent) of the RAP. If the difference between the lowest offer and the other offer exceeds 5%, the lowest bidder wins the auction. If the difference is less than or equal to 5% or if there is a tie between the lowest offers, there will be a voice round, in which the auctioneer may set minimum values ​​to be offered between one and another bid. The biddersubmitting the lowest amount wins. In case no offers are made during the voice round, the winner will be the one who has submitted the lowest amount per envelope. If there is a tie in figures presented per envelope and no offers are made during the voice round, the winner will be determined by lottery promoted by the session director. With the purpose of enhancing completion, there may be the exclusion of a lot to which there is only one bidder entitled to participate, after the manifestation of the Ministry of Mines and Energy (MME).

Warranties– In order to be entitled to participate in the auction, bidders must have submitted guarantees of up to 1% of the investments estimated by ANEEL, valid for 180 days. The Guarantee of Faithful Compliance is submitted only by the winners of the auction, and it replaces the previous guarantee.  It corresponds to 5% of the investments and must be submitted until two business days before to signing the contract.

Chronogram – According to the chronogram of the auction, winning proponents must submit the documents for the qualifying phase by December 14th at BM&FBovespa. By December 21st, the Special Bidding Committee (Comissão Especial de Licitação CEL) of ANEEL will announce the results of the qualification. The deadline for submitting appeals is January 04th 2013. The result of the approval and granting of the concession are scheduled for January 15th , 2013. The deadline for delivery of the construction schedule and budget of the facilities is January 18th 2013, on which date the documents of the SPE or transmission concessionaire, required for the signing of the concession contract, must also be delivered. Two days before the date to be established for the signing of the concession contract, entrepreneurs must submit the Guarantee of Faithful Compliance at ANEEL. The contracts will be signed within 14 days from the date of convocation.

Innovations – From this auction on, regardless of the number of bidders per lot, the financial proposal may not exceed the Revenue Reserve, that is 95% (ninety five percent) of the RAP.

* Reference Allowed Annual Revenue (RAP) –is the annual revenue that the transmission company will be entitled to receive for the provision of the public service of transmission to consumers from the date the facility enters into commercial operation. Its amount is equivalent to that obtained as the result of the auction, with annual adjustment according to the Consumer Price Index (IPCA) of IBGE (Instituto Brasileiro de Geografia e Estatística) and revision every five years according to the terms of the concession contract.
