Public hearing will discuss transfer of corporate control

The board of directors of the Brazilian Electricity Regulatory Agency (ANEEL – Agência Nacional de Energia Elétrica) approved today (06/11) a public hearing to discuss improvement proposals for the rules on transfer of corporate control, in order to avoid security risks in the Regulated Contracting Environment (ACR – Ambiente de Contratação Regulado). The document exchange will take place from June 13 to August 12 and the live session was scheduled for July 11.

Under the proposal, the prior approval by ANEEL for thermal and wind projects, it continues to be waived in cases of transfers of direct or intermediate control, but shall be required in cases of indirect control transfers of companies who signed Electricity Trading Contracts in a Regulated Environment (CCEAR – Contratos de Comercialização de Energia Elétrica no Ambiente Regulado) or Energy Reserve Contracts (CER – Contratos de Energia de Reserva) and who have not yet started commercial operation of all generating units. For hydro or nuclear generation, the agreement remains necessary in any case.

The objective is to avoid that projects still being built be taken over by controllers without financial and economic conditions to conclude them, which would compromise the safety of the ACR.
