Edict for Transmission Auction No. 02/2013 is approved

Leilão de Transmissão 02/2013The board of directors of the Brazilian Electricity Regulatory Agency (ANEEL – Agência Nacional de Energia Elétrica) approved today (06/11) the Edict of Transmission Auction No. 02/2013 for contracting public electricity transmission service in the states of Acre, Distrito Federal, Goiás, Bahia, Piauí, Rio Grande do Sul, Maranhão, Rio Grande do Norte and Mato Grosso do Sul. The event will be held on June 12, starting at 10 a.m., at the BM&FBovespa headquarters, in São Paulo. See here the description of the lots.

The new installations, which shall enter in operation in the term of 24 to 36 months, will demand investments of approximately R$ 1.2 billion. The winning concession company will have the right to receive the *Allowed Annual Revenue(RAP – Receita Anual Permitida) for the service providing, to be received up commercial operation startup.

In the event, the participation is not allowed, individually or in consortium in which it holds more than 49% share, of companies with a history of systematic delay in implementation of transmission projects in the last three years, characterized by average time of delay in commercial operation facilities exceeding six months beyond the dates specified in the respective concession contracts or authorization acts. Nor may companies join that have received three or more penalties for delay in execution of transmission projects within the last three years, already with final decisions on the administrative level. The list of companies that may not participate in the auction because of these restrictions will be announced along with the publication of the auction notice.

Schedule– By the edict schedule, the winning applicants shall deliver the documents for the qualification phase on 07/26, at BM&FBovespa, in São Paulo. By 08/02, ANEEL’s Executive Auction Secretariat (SEL – Secretaria Executiva de Leilões) shall disclose the qualification result. The final term for filing an appeal is 08/09/2013. The homologation of the result and award of the concession are planned for 08/20/2013. The final term for delivering the schedule and budget for construction of the installations is 08/23/2013, date on which the SPE or transmission concessionaire documents demanded for the concession contract should be delivered.

Auction systematic– All applicants registered and qualified to compete in the lot must submit financial bid to the auctioneer at the time of the event, including those who may have lost interest in the dispute – in which case the participant must place the envelope a presentation refusal form. The financial proposal shall not exceed the Reserve Revenue, which corresponds to 95% (ninety five percent) of the RAP. If the difference between the lowest offer and the other offers is greater than 5%, the proponent of the lowest proposal wins. If the difference is less than or equal to 5% or if there is a tie between the smaller bids, there will be a live round, in which the auctioneer may set minimum values to be offered between one bid and another. The proponent who presents the lowest value will win. In the case of no proponent bidding by speaker phone, the winner will be the one who presented the lowest value in an envelope. If there is a tie of the values presented by envelope without the presentation of speaker phone bids, the winner will be determined by a drawing promoted by the session director. To promote the contest, the possible exclusion of the lot may occur for which there is only one bidder able to compete, after manifestation of the Ministry of Mines and Energy (MME).

Sureties– To participate in the auction, applicants will land sureties of up to 1% of the investment value estimated by ANEEL, with validity of 180 days. The Loyal Fulfillment Guarantee is contributed by the auction winners, in substitution of the previous surety. It corresponds to 5% of the investment value and should be contributed in up to two business days prior to signing the contract.

* Allowed Annual Revenue (RAP) –Is the annual revenue that the transmitter will have right to for the public service rendering of transmission to the users, starting upon entering in commercial operation of the installations. Its value is obtained as a result of the auction, with annual updating by the Extensive Consumer Price Index (Índice de Preços ao Consumidor Amplo – IPCA) by the Brazilian Institute of Geography and Statistics (Instituto Brasileiro de Geografia e Estatística – IBGE) and reviewed every five years, in terms of the concession contract.
