The Brazilian Electricity Regulatory Agency’s (Aneel) collegiate board approved today (07/15) The operation which will result in the transfer of share control from the Empresa Energética de Mato Grosso do Sul (Enersul) of EDP – Energias do Brasil S/A to Grupo Rede, in exchange for shareholder stocks in the Luiz Eduardo Magalhães hydroelectric mill – former UHE Lajeado. The transaction should be concluded in 90 days by the company – starting from the publication of Aneel’s resolution – and the supporting documentation sent to the Agency in the following 30 days
The stock exchange which involves the control of Enersul by Grupo Rede includes the transfer to EDP of the participations withheld by the companies Rede Energia S/A and Rede Power do Brasil S/A in the generation distribution leaser Rede Lajeado S/A. Energias do Brasil will also take on the social capital of Tocantins Energia S/A (withheld by Rede Power) and the totality of preferential stock (without the right to vote) of Investco S/A, in power of Rede Lajeado.
The operation will not bring changes for the Enersul consumers, which will be controlled by holdings Rede Energia S/A and Rede Power do Brasil S/A. s it is a simple alteration of the distribution leaser’s share control, all legal rights and obligations foreseen in the contract signed between the distributor and Aneel, which has delegation to represent the conceding power, are preserved.
