Board authorizes transfer of control of transmitters

Last Wednesday (11/16), the Brazilian Electricity Regulatory Agency (ANEEL) authorized the transfer of corporate control of Sul Transmissora de Energia Elétrica S/A (STE), ATE Transmissora de Energia S/A, ATE II Transmissora de Energia S/A and ATE III Transmissora de Energia S/A during a public meeting of the board.They will go from Abengoa Concessões Brasil Holding S/A to Abengoa Participações Holding S/A (Newco).Newco will subsequently transfer 50% of its shares to Transmissora Aliança de Energia Elétrica S/A (Taesa), which will become the bearer, as will Abengoa Holding, of one share of each of the transmission companies.

The Agency gave a 90 day period for the transfer to Newco.Once these procedures have been concluded, ANEEL granted 90 more days for Newco to make the transfer to Taesa.The concessionaire will send ANEEL’s Superintendence of Economic and Financial Supervision an authenticated copy of documents that prove the formalization of the entire operation in no more than 30 days after the transfer date to Taesa.
