Transmission Auction No. 002/2012: deadline for clarifications ends today

LTThe deadline for requests for clarification on the notice of Transmission Auction No. 002/2012, to be held on 09/03, from 10am, at the headquarters of BM&FBOVESPA, in São Paulo, closes today. The National Agency for Electrical Energy (ANEEL) will have until 01/03 to supply the answers to the clarifications. 01/03 will also be the final deadline for requests for visits to existing installations, which must be carried out by 05/03.

Registrations for participation in the auction will be done online, on ANEEL’s site, from 8am on 06/03 to 2pm on 07/03. Presentation of the proposed guarantee, also online, will be from 9am on 06/03 to 4pm on 07/03. The delivery of the guarantees, on 07/03 until 4pm, will be in BM&FBOVESPA, for those who do not have digital certificates, and at ANEEL, for those presented under collateral accounts. On 08/03, CEL will announce the proponents to participate in the auction.

Five lots with eight transmission lines will be auctioned, with a total of 1,697 kilometers (km), and seven substations with 1,710 mega-volt-amperes (MVA) of capacity. The endeavors should require R$ 2.9 billion in investments, generating 11.6 thousand direct jobs.

The deadline of the works will vary from 18 to 32 months. The maximum Allowed Annual Revenue as predicted by ANEEL for all the lots is that of R$ 363.9 million, a value which should fall as the auction discussions commence.

The transmission installations will be built in six Brazilian states: Amazonas, Bahia, Mato Grosso, Goiás, Minas Gerais and Rio de Janeiro. Check here for a description of the lots.

Lot C of Transmission Auction No. 006/2011, which was without interested parties last December, returns as Lot C of Auction No. 002/2012, acquired from the Lechuga Substation, in Amazonas. According to the technical area, the substation had not yet been approved on that occasion.

Functioning of the auction– The financial proposal with the RAP value for each lot shall be submitted in a sealed envelope by the participant. All registered applicants who are qualified to bid on the lot must submit a proposal to the auctioneer at the time of the event, including those who may have lost interest in the bid – in this case, a refusal on the presented proposal should be put in the envelope. If the difference between the lowest bid and the other bids is greater than 5%, the lowest bidder wins the tender. If the difference is less than or equal to 5% or if there is a tie among the lowest bids, there will be an out-loud round, in which the auctioneer may set minimum values ​​to be provided between one bid and the other. The bidder submitting the lowest bid will win. In the case of no bidder bidding aloud, the bidder who has submitted the lowest bid by envelope will be the winner. If there is a tie in values ​​submitted in the silent auction, the winner will be determined by raffle as carried out by the session’s director. To promote competition, possible exclusion may occur from any lot for which there is only one bidder able to compete, following demonstrations from the Ministry of Mines and Energy (MME). In the case of the lot being kept, a Receipt of Reservation with a value less than the maximum RAP will be adopted, which is also fixed in the bid invitation, as a means towards a minimal discount.

Guarantees-To participate in the auction, bidders entered with a guarantee of 1% of the investment value estimated by ANEEL. The Guarantee of Faithful Fulfillment is provided only by the auction’s winners, substituting the earlier guarantee. It corresponds to 5% of the investment value and should be provided up to two business days before the signing the contract.

Schedule– Afterthe event, winning bidders must submit the documents for the qualifying phase during the period of 12/03 to 16/03, at the BM&FBovespa. On 23/03, ANEEL’s Special Bidding Committee (CEL) is to disclose the results of the qualification. The approval and awarding of the concession are planned for 03/04. The final deadline for delivery of the schedule and of the budget for construction of the facilities is 16/04, the date on which the SPE and the transmission concessionaire documents will be required for the concession contract. Two working days before the date set for the signing of the concession contract, the entrepreneurs must submit theguarantee of faithful fulfillment. The contracts are to be signed within 14 days from the convocation date.

Change– In relation to the scheduling of previous auctions, the main change is the exclusion of the stage of conferring concessions, which is considered merely symbolic. With the modification, the set date for the signing of the concession contracts will be brought forward by about 40 (forty) days, contributing to the speedy implantation of new transmission facilities in the country.
