Transmission Auctionin June will offer six lots

Leilão de Transmissão 05/2012The Boardof the National Agency of Electrical Energy (ANEEL) approved today the edict of the Transmission Auction No. 05/2012, which will be held on June 06th, from 10 am, at the headquarters of BM&F BOVESPA in Sao Paulo. Six lots will be auctioned, with seven lines, comprising a total of 678 kilometers (km), plus three substations with 975 mega-volt-amperes (MVA) of power. The projects will require R$ 920.8 million in investments, generating 4,000 direct jobs.

The period of the undertakings will range from 18 to 24 months.  The Allowed Annual Revenue* anticipated by ANEEL for all lots is of R$ 99.9 million, a figure that is expected to fall with the auction. The AAR is the remuneration that the winning companies will be entitled to receive for the provision of transmission services from the date of entry into commercial operation of the enterprises.

Thetransmission facilities will be built in five Brazilian states: Rio Grande do Sul, Paraná, Mato Grosso do Sul, Minas Gerais and Bahia. Check out the description of the lots here.

Because the undertakings are associated with the 2014 World Cup, with a completion period reduced, the Lot D of the Transmission Auction No. 03/2012, which had no bidders at the event held last month, returns as Lot F in Auction No. 05/2012.  A revaluation related to the percentage adjustment of the type of structures (towers) was performed, as a result of technical analysis in the regions through which the transmission line in question will pass – close to areas of urban expansion, with biomes of Forest and Cerrado.

Systematicof the auction – in this auction, the practice of delivering proposals in a sealed envelope with the AAR amounts for each lot during the auction will return. All proponents registered and qualified to participate in the auction must submit a proposal to the auctioneer at the time of the event, including those who may have lost interest in the dispute – in that case, the proponent must include in the envelope the form of refusal to bid. If the difference between the lowest bid and other bids is greater than 5%, the lowest bidder wins the tender. If the difference is less than or equal to 5% or if there is a tie among the lowest bids, there will be a round in which the proponents will speak out their bids, and the auctioneer may set minimum values to be provided between a bid and the others. If no participant proposes a bid by voice, the one who has submitted the lowest amount per envelope wins.
Ifthere is a tie in the amounts submitted in the envelopes, and no bid by voice, the winner will be determined by lottery promoted by the director of the session. In order to promote competition, there may be the possibleexclusion of the lot to which there is only one bidder entitled to compete, after announcement of the Ministry of Mines and Energy (MME). If the lot is maintained, it will be adopted Reserve Revenue whose amount is inferior to the maximum AAR set in the Edict, as a way to get a minimum discount.

Guarantees –  In orderto participate in the auction, bidders will bring guarantees whose amount is 1% (maximum) of the investments estimated by ANEEL, with extension period of 60 days. The Guarantee of Faithful Fulfillment is provided only by the winners of the auction. It replaces the previous guarantee and corresponds to 5% of the investments. The Guarantee of Faithful Fulfillment must be submitted within two business days before signing the contract.

Schedule– According to the schedule set in the edict, the final deadline for requesting clarifications will be on May 18th.The Special Bidding Procedure Committee  (Comissão Especial de Licitações – CEL) may provide responses to clarification by May 25th.May 29th is final thedeadline for requests for visits to the existing facilities, which must take place byJune 1st. Registration procedures will be done online, on the ANEEL website,from June 1st at 8 amto June 4th at 2 pm. The amount of theproposed guarantee will also be submitted online, from June 1st at 9 am to June 4th at 4 pm. The Guarantees must be delivered on June 4thuntil 4 pm, at the BM & FBOVESPA, for those without digital certification, and at ANEEL, in regard to those submitted under escrow account. On June 6th, CEP will announce the bidders who will participate inthe auction.

Afterthe event, winning bidders must submit the documents for the qualification phase on June 15th, at BM&FBovespa.Until the June 22nd, the Special Bidding Procedure Committee (CEL) will disclose the results of the qualification. The result of the approval and award of the grant are planned forJuly 3rd. The deadline for delivery of the construction schedule and budget isJuly 16th, when the documents of the SPE or the transmission concessionaire required for the execution of the concession contract must also be delivered. Two days before the date to be set for signing the concession contract, entrepreneurs must submit the Guarantee of Faithful Fulfillment. Contracts must be signed within 14 days from the date of convocation.

Adjustments – The methodology of the Transmission Auction No. 05/2012 will be the same as the Transmission Auction No. 02/2012, held in April.  Delivery of the bid proposals in envelopes during the event return to the procedures of the event and also the Revenue Reserve, which is the maximum amount of the AAR to be hired for a specific lot, corresponding to 95% of the maximum AAR, if there is only a bidder for the lot. From the procedures of the Transmission Auction No. 03/2012, it was maintained the extension period of guarantee for participation in the auction, which is of 60 days. (BT / DB)
